End User License Agreement

The license terms for software, automations, and integrations Lever Launch builds or operates. Subscription billing and cancellation terms live in the Terms of Service.

Last updated: June 26, 2026

1. Acceptance

This End User License Agreement ("Agreement") governs your use of the software, applications, automations, and integrations provided or operated by Lever Launch LLC ("Lever Launch," "we," "us") (the "Software"). By accessing or using the Software, you agree to this Agreement. Where a separate signed agreement (such as a Statement of Work or Master Services Agreement) exists between you and Lever Launch, that agreement controls in the event of a conflict.

2. License

Subject to this Agreement, Lever Launch grants you a limited, non-exclusive, non-transferable, revocable license to use the Software for your internal business purposes as described in your agreement with us. We retain all rights not expressly granted.

3. Acceptable use

You will not: (a) copy, modify, reverse-engineer, or create derivative works of the Software except as permitted by law; (b) resell, sublicense, or provide the Software to third parties except as agreed; (c) use the Software unlawfully or to infringe others' rights; or (d) attempt to gain unauthorized access to the Software or related systems.

4. Connected services and authorization

The Software may connect to third-party services you authorize — for example, accounting platforms (such as Intuit QuickBooks), telephony, and voice/AI providers — using each service's standard, revocable authorization. You are responsible for your own accounts with those services and for the accuracy and lawfulness of the data you make available. You may revoke the Software's access at any time from within the relevant service. Your use of third-party services is also governed by those services' own terms.

5. Intellectual property

Lever Launch retains ownership of the Software and its underlying tools, methods, and pre-existing materials. Deliverables and license terms specific to an engagement are set out in your agreement with us. You retain ownership of your own data.

6. Confidentiality

Each party will protect the other's confidential information and use it only to perform under this Agreement, except for information that is public, independently developed, or required to be disclosed by law.

7. Disclaimers

The Software is provided "as is" and "as available." To the maximum extent permitted by law, Lever Launch disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Software will be uninterrupted or error-free, or that third-party services will remain available.

8. Limitation of liability

To the maximum extent permitted by law, Lever Launch will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total aggregate liability arising out of or relating to the Software will not exceed the fees paid for the applicable engagement. Where a signed agreement specifies a different limitation, that agreement controls.

9. Term and termination

This Agreement applies while you use the Software. We may suspend or terminate access for breach of this Agreement. On termination, your license ends and you will stop using the Software; sections that by their nature should survive (including intellectual property, confidentiality, disclaimers, and limitation of liability) survive termination.

10. Governing law

This Agreement is governed by the laws of the State of Utah, without regard to its conflict-of-laws rules, except where a signed agreement between the parties provides otherwise.

11. Changes

We may update this Agreement from time to time. We will revise the "Last updated" date above; continued use of the Software after changes take effect constitutes acceptance.
